XTalk Terms & Conditions

Welcome to XTalk! These Terms of Use (“Terms”) govern your use of our mobile and web applications (“App”). By accessing or using the App, you agree to comply with these Terms. If you do not agree with these Terms, you must not use the App.
Acceptance of Terms
- By registering, accessing, or using the App, you accept and agree to be bound by these Terms and our Privacy Policy.
- If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Modifications to Terms
- XTalk reserves the right to update or modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website and App or by email.
- Your continued use of the App following any changes constitutes your acceptance of the revised Terms.
User Accounts
- To access certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during the registration process.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
Privacy Policy
- Our Privacy Policy explains how we collect, use, and share your information. By using the App, you consent to the collection and use of your information as described in our Privacy Policy.
Use of the App
- ou agree to use the App in accordance with these Terms and all applicable laws and regulations.
- You must not use the App to transmit any harmful or illegal content, including but not limited to, viruses, malware, or any content that infringes on the rights of others.
User Content
- You retain ownership of any content you upload, post, or share through the App (“User Content”). By submitting User Content, you grant XTalk a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, and display such content in connection with the App.
- You represent and warrant that you own or have the necessary rights to upload, post, or share User Content and that your User Content does not violate any third-party rights or applicable laws.
Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Using the App for any illegal purpose or to promote illegal activities.
- Impersonating another person or entity or falsely stating your affiliation with a person or entity.
- Interfering with or disrupting the security, integrity, or performance of the App.
- Attempting to gain unauthorized access to the App or its related systems or networks.
Intellectual Property
- The App and all content and materials included therein, such as text, graphics, logos, images, and software, are the property of XTalk or its licensors and are protected by intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial purposes.
- You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App, except as permitted by these Terms.
Termination
- XTalk reserves the right to terminate or suspend your access to the App at any time, without notice, for any reason, including if you breach these Terms.
- Upon termination, your right to use the App will immediately cease, and you must destroy all copies of downloaded or obtained materials from the App.
Limitation of Liability
- XTalk shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use of or inability to use the App.
- XTalk makes no warranties or representations about the accuracy or completeness of the App’s content or the content of any websites linked to the App.
Indemnification
You agree to indemnify, defend, and hold harmless XTalk, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of your violation of these Terms or your use of the App.
Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of UAE, without regard to its conflict of law principles.
- Any legal suit, action, or proceeding arising out of or related to these Terms or the App shall be instituted exclusively in the courts of UAE.
Miscellaneous
- These Terms constitute the entire agreement between you and XTalk regarding the use of the App.
- If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
- XTalk’s failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by XTalk in writing.
